Thanks for using Legalio CMS.


By using Legalio CMS, you are agreeing to these terms. Please read them carefully. Legalio CMS is The Case Management Software and is also software as a service (SaaS) application. Legalio CMS is a product of Logixia Solutions.
Legalio CMS provides diverse services, so sometimes additional terms may apply. Additional terms will be available with the relevant Services, and those additional terms become part of your agreement with us if you use those Services.
We reserve the right, at any time and in its sole discretion, to update and change any or all of these Terms of Service. When we change these Terms of Service, We will modify the "Last Updated" date above. You are responsible for regularly reviewing the most current version of the Terms of Service, which are currently available at: http........... Your continued use of the Services after any such changes have been made shall constitute your consent to be bound by such changes. If you object to any changes to these Terms of Service your sole and exclusive remedy shall be to terminate the Services according to the terms herein.


1. Services.

We offer the Services through our proprietary software Legalio CMS as a service platform that we host under URL www.legaliocms.com. You acknowledge and agree that we reserve the right to add, modify or delete the Services (or any part thereof) from time to time and that we shall not be liable to you or to any third party for any modification to the Services.


2. Using our Services

You must follow any policies made available to you within the Services. Don’t misuse our Services. For example, don’t interfere with our Services or try to access them using a method other than the interface and the instructions that we provide. You may use our Services only as permitted by law, including applicable export and re-export control laws and regulations. We may suspend or stop providing our Services to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.
Using our Services does not give you ownership of any intellectual property rights in our Services or the content you access. You may not use content from our Services unless you obtain permission from its owner or are otherwise permitted by law. These terms do not grant you the right to use any branding or logos used in our Services. Don’t remove, obscure, or alter any legal notices displayed in or along with our Services.
Our Services display some content that is not Legalio CMS’s. This content is the sole responsibility of the entity that makes it available. We may review content to determine whether it is illegal or violates our policies, and we may remove or refuse to display content that we reasonably believe violates our policies or the law. But that does not necessarily mean that we review content, so please don’t assume that we do.
In connection with your use of the Services, we may send you service announcements, administrative messages, and other information. You may opt out of some of those communications.
Some of our Services are available on mobile devices. Do not use such Services in a way that distracts you and prevents you from obeying traffic or safety laws.


3. Expanding the Service tenure or Storage space.

You may subscribe to additional Services, including new Services as may be made available by Legalio CMS from time to time, or increase your existing Services or Storage space by executing an additional Order Form or sign-up flow, as part of the Services. Each new sign-up flow or Order Form will include the price and billing date(s) of the Services being added at that time. All new Services are subject to these General Terms of Services and any additional terms and conditions that may specifically apply to such additional Services.


4. Your Legalio CMS Account

You need a Legalio CMS Account in order to use our Services. You may create your own Legalio CMS Account, or your Legalio CMS Account may be assigned to you by an administrator. If you are using a Legalio CMS Account assigned to you by an administrator, different or additional terms may apply and your administrator may be able to access or disable your account.


5. Privacy

Legalio CMS is SSL certified and has encrypted the password entered by you. The password entered by you cannot be viewed by our technical or admin team. Your Legalio CMS account is protected by your password kept by you. Use strong password and keep your password safe and confidential.
You are responsible for the activity that happens on or through your Legalio CMS Account. Try not to reuse your Legalio CMS Account password on third-party applications. If you learn of any unauthorized use of your password or Legalio CMS Account please reset it. So that nobody else can sign in to your account.


6. Confidential Information.

Unless expressly authorized by the other party, neither party shall disclose to any third party any information or materials provided by the other party under the Agreement and reasonably understood to be confidential ("Confidential Information"), or use such Confidential Information in any manner other than to perform its obligations under the Agreement. The foregoing restrictions do not apply to any information that is in the public domain or already in the receiving party's possession, was known to the receiving party prior to the date of disclosure or becomes known to the receiving party thereafter from a third party having an apparent bona fide right to disclose the information, or Confidential Information that the receiving party is obligated to produce pursuant to an order of a court of competent jurisdiction or a valid administrative subpoena, providing receiving party provides disclosing party of timely notice of such court order or subpoena. Furthermore, you will, and will ensure your authorized users will, keep in strict confidence all passwords and other access information to the Services. This Section 8 shall survive termination or expiration of this Agreement.


7. Your Content in our Services

Some of our Services allow you to upload, submit, store, send or receive content. You retain ownership of any intellectual property rights that you hold in that content. In short, what belongs to you stays yours.
If you have a Legalio CMS Account, we may display your Profile name, Profile photo, and actions you take on Legalio CMS or on third-party applications connected to your Legalio CMS Account including displaying in ads and other commercial contexts. We will respect the choices you make to limit sharing or visibility settings in your Legalio CMS Account.
If you submit feedback or suggestions about our Services, we may use your feedback or suggestions without obligation to you.


8. About Software in our Services

Legalio CMS gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software provided to you by Legalio CMS as part of the Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by Legalio CMS, in the manner permitted by these terms. You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.
Some software used in our Services may be offered under an open source license that we will make available to you. There may be provisions in the open source license that expressly override some of these terms.


9. Modifying and Terminating our Services

We are constantly changing and improving our Services. We may add or remove functionalities or features, and we may suspend or stop a Service altogether. You can stop using our Services at any time, although we’ll be sorry to see you go. Legalio CMS may also stop providing Services to you, or add or create new limits to our Services at any time. We believe that you own your data and preserving your access to such data is important. If we discontinue a Service, where reasonably possible, we will give you reasonable advance notice and a chance to get information out of that Service. The liability of Logixia Solutions in any circumstances shall not exceed the amount paid for using Services on Legalio CMS Platform deducting the amount for the term of services used.


10. Refund

Legalio CMS provides a free trial version for the use of services. The user can subscribe to the services under various plans with the different validities after using the trial version of Legalio CMS. User can request to quit/discontinue the use of our services by sending a mail at refund@legaliocms.com and for refund of remaining validity of services by assigning the reason for discontinue the use of our services. User is entitled to claim the refund for their remaining validity of services.


11. Customer Support.

Provided you have subscribed the services, we will use commercially reasonable efforts to provide, at no charge to you, technical support services to you and your authorized users who have subscribed to the Services. Our standard support is available on working days from 9:00AM to 6:00PM excluding holidays as notified in government list of holidays and weekends. You may contact customer support by emailing us at support@legaliocms.com. Our response time on technical issues is usually not greater than two business days. You can contact for non technical issues at customer support numbers displayed on website. Non satisfied users from customer support can mail at prioritysupport@legaliocms.com.


12. Training.

Provided that you have subscribed the services, we shall make available recorded training sessions to your designated, named and authorized users as well as provide tutorials which are accessible via the Help and Training section of our website at no additional charge. For some Services we provide some onsite training upon request for an additional charge. Please contact us at training@legaliocms.com for more information about onsite training.


13. Your Rights and Restrictions.

13.1 License. Subject to the terms and conditions of the Agreement, and upon timely payment of all applicable fees set forth in the Order Form or sign-up flow, we hereby grant to you a non-exclusive, non-transferable, limited right and license to use (and permit your authorized users to use) the Services to which you have subscribed solely for your internal purposes.

13.2 Authorized Users. You (i) are responsible for your authorized users' compliance with the Agreement, and (ii) shall use commercially reasonable efforts to prevent unauthorized access to or use of the Services and shall notify us immediately of any such unauthorized access or use. It is your responsibility to remove access to the Services if authorized status of a user or designated employee changes.

13.3 Your Responsibilities and Restrictions. You are responsible for all activities that occur under your user accounts or by your authorized users. You shall: (i) have sole responsibility for the accuracy, quality, integrity, legality, reliability, and appropriateness of all data that you submit to the Services; (ii) use commercially reasonable efforts to prevent unauthorized control or tampering or any other unauthorized access to, or use of, the Services and notify us promptly of any unauthorized use or security breach; (iii) comply with all applicable local, state, federal, and foreign laws (including laws regarding privacy and protection of personal or consumer information) in using the Services; (iv) to the extent applicable, comply with all applicable rules of credit card associations (including American Express, MasterCard and Visa); and(v) obtain and maintain all computer hardware, software and communications equipment needed to access the Services and pay all access charges (e.g., ISP fees) incurred by you in connection with your use of the Services.
You may not, and you shall ensure your authorized users do not, (i) disassemble, reverse engineer, decompile or otherwise attempt to decipher any code in connection with the Services, or modify, adapt, create derivate works based upon, or translate the Services; (ii) license, sublicense, sell, rent , assign, distribute, time share transfer, lease, loan, resell for profit, distribute or otherwise commercially exploit, grant rights in or make the Services available to any third party; (iii) use the Services except as expressly authorized hereunder or in violation of any applicable laws; (iv) engage in any illegal or deceptive trade practices with respect to the Services; (v) circumvent or disable any security or other technical features or measures of the Services or any other aspect of the Software or, in any manner, attempt to gain or attain unauthorized access to the Services or its related computer systems or networks; (vi) use the Services to transmit infringing, libellous, obscene, threatening, or otherwise unlawful, unsafe, malicious, abusive or tortuous material, or to store or transmit material in violation of third-party privacy rights; (vii) use the Service to store or transmit any viruses, worms, time bombs, Trojan horses and other harmful or malicious code, files, scripts, agents or programs or to send spam or otherwise duplicative or unsolicited messages in violation of applicable laws; or (viii) interfere with or disrupt the integrity or performance of the Services or third-party data contained therein.

13.4 Reservation of Rights. No other rights are granted except as expressly set forth in the Agreement. The Agreement is not a sale and does not convey any rights or ownership in, or to, the Services or any underlying software. We own all right, title, and interest, including all intellectual property rights, in and to the Services and the underlying software and all updates, upgrades, modifications, enhancements, improvements or derivative works thereof, and in any idea, know-how, and programs developed by us or our licensors during the course of performance of the Services.


14. Personal Information and Privacy Statement.

You will comply with all applicable privacy and other laws, rules, regulations and guidelines relating to protection, collection, use and distribution of Personally Identifiable Information (as defined below) of any person. You will post a privacy statement on the page where you collect Personally Identifiable Information ("Privacy Statement") that complies with all applicable laws, rules, regulations and guidelines and, at a minimum, notifies users of the Personally Identifiable Information collected, how it will be used and how it will be secured and identifies the collection (via cookies, web beacons and other applicable means) and use of information gathered in connection with the Services and obtains prior informed consent (opt-in) before utilizing any tracking technologies, to the extent required by applicable laws and regulations. Such Privacy Statement shall also include technical information related to collection, transmission and storage of Personally Identifiable Information provided by us through the Services. If required by applicable data protection legislation or other law or regulation, you will inform third parties that you are providing their Personally Identifiable Information to us for processing and will ensure that any required third parties have given their consent to such disclosure and processing. You agree to comply with the descriptions and provisions of the Privacy Statement. "Personally Identifiable Information" means any information that can be associated with or traced to any individual, including an individual's name, address, telephone number, e-mail address, credit card information, social security number or other similar specific factual information, regardless of the media on which such information is stored (e.g., on paper or electronically).


15. Miscellaneous.

15.1 Independent Parties. You and Legalio CMS are independent contractors. The Agreement does not create any joint venture, partnership, agency or employment relationship between the parties. You shall be solely responsible for managing your employees and for any and all compensation, taxes, benefits and liabilities to your employees and any of your other representatives or service providers. Neither you nor any of your employees, representatives, or service providers shall make any representations, warranties or guarantees with respect to us, the Agreement or the Services other than as expressly authorized by us in writing.

15.2 Links to Third Party Sites. The Services or our website may include links to third party sites ("Linked Sites"). The Linked Sites are not under our control and we are not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site or the Services provided via a Linked Site. We are providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by us of the site or any associated services provided by the site.

15.3 Services period. The services that we provide and those services that you order or sign up those services are only available to you for selected subscribed period and the services if not re-subscribed before expiry of subscribed period will result into automatic suspension and deletion of an account and in such an event we shall not be responsible for any loss caused thereof.

14.4 Updation of services. If your service period i.e. a year of service is completed then you has an option to update the service period/plan or you can sign up for new services.

15.5 Loss of data. After completion the service period or termination of service we will not be responsible for any loss of your data.

14.6 Backup. Legalio CMS provide feature to download the case documents from cloud storage. It is suggested to keep the proper record of the data and make the backup of your files.


16. Our Warranties and Disclaimers.

We provide our Services using a commercially reasonable level of skill and care and we hope that you will enjoy using them. But there are certain things that we don’t promise about our Services.
Other than as expressly set out in these terms or additional terms, neither Legalio CMS nor its suppliers, distributors and referral persons make any specific promises about the Services. For example, we don’t make any commitments about the content within the Services, the specific functions of the Services, or their reliability, availability, or ability to meet your needs. We provide the Services “as is”.
Some jurisdictions provide for certain warranties, like the implied warranty of merchantability, usability for a particular purpose and non-infringement. To the extent permitted by law, we exclude all warranties.


17. Liability for our Services.

When permitted by law, Legalio CMS, and Legalio CMS’s suppliers, distributors, and referral persons will not be responsible for lost profits, revenues, or data, financial losses or indirect, special, consequential, exemplary, or punitive damages.
To the extent permitted by law, the total liability of Legalio CMS, and its suppliers, distributors, and referral persons for any claims under these terms, including for any implied warranties, is limited to the amount you paid us to use the Services (or, if we choose, to supplying you the Services again). Our liability in any circumstances shall not exceed the amount paid for using Services on Legalio CMS Platform deducting the amount for the term of services used.
In all cases, Legalio CMS, and its suppliers, distributors, and referral persons will not be liable for any loss or damage that is not reasonably foreseeable.


18. Business uses of our Services.

If you are using our Services on behalf of a business, that business accepts these terms. It will hold harmless and indemnify Legalio CMS and its affiliates, officers, agents, and employees from any claim, suit or action arising from or related to the use of the Services or violation of these terms, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and attorneys’ fees.


19. About these Terms.

We may modify these terms or any additional terms that apply to a Service to, for example, reflect changes to the law or changes to our Services. You should look at the terms regularly. We’ll post notice of modifications to these terms on this page. We’ll post notice of modified additional terms in the applicable Service. Changes will not apply retroactively and will become effective no sooner than fourteen days after they are posted. However, changes addressing new functions for a Service or changes made for legal reasons will be effective immediately. If you do not agree to the modified terms for a Service, you should discontinue your use of that Service.
If there is a conflict between these terms and the additional terms, the additional terms will control for that conflict.
These terms control the relationship between Legalio CMS and you. They do not create any third party beneficiary rights.
If you do not comply with these terms, and we don’t take action right away, this doesn’t mean that we are giving up any rights that we may have (such as taking action in the future).
If it turns out that a particular term is not enforceable, this will not affect any other terms.


20. Cookies and similar technologies

We use various technologies to collect and store information when you visit a Legalio CMS service, and this may include using cookies or similar technologies to identify your browser or device. We also use these technologies to collect and store information when you interact with services we offer to our partners, such as advertising services or Legalio CMS features that may appear on other sites.


21. Information security

We work hard to protect Legalio CMS and our users from unauthorized access to or unauthorized alteration, disclosure or destruction of information we hold. In particular: • We encrypt many of our services using SSL.
• We offer you E-mail verification when you access your Legalio CMS Account.
• We review our information collection, storage and processing practices, including physical security measures, to guard against unauthorized access to systems.
• We restrict access to personal information to Legalio CMS employees, contractors and agents who need to know that information in order to process it for us, and who are subject to strict contractual confidentiality obligations and may be disciplined or terminated if they fail to meet these obligations.


22. Blogs and Social Media

Our website includes social media features, such as Facebook Like Button, Twitter Follow Button and Linkedin Follow Button Two — and widgets such as the Share button. These features may collect your IP address, which page you are visiting on our site, and may set a cookie to enable the feature to function properly. Social media features and widgets are hosted on our site or by a third Party and your interactions with these features are governed by the privacy policy of the company providing it.
